How to sell a litigation finance portfolio

A litigation finance portfolio sells on evidence. A buyer pays for a book whose matters are documented, priced from the record and monitored; it discounts heavily for one that is not. The sale process is: assemble the tape, have it priced independently, choose the structure (whole sale, partial, fee interest, forward flow), then place it.

The tape. Matter list with case type, venue, stage, dates, counsel, advance amounts, contract terms, and outcomes to date. Gaps in the tape are discounts in the price.

The price. A record-based valuation of every matter: probability, recovery band, duration, and the contract economics. A seller who arrives with that valuation negotiates from a number; one who does not negotiates from the buyer’s number.

The structures. Whole book sale. Partial sale or participation. Sale of a fee interest. Forward flow, where the buyer commits to future originations. NAV financing as an alternative to selling.

Placement. Criterica Capital prepares books for sale or financing and introduces them to independent capital providers. The seller deals with one point of contact.
