Agreement to Terms
By accessing or using the Criterica Capital website (the "Site"), you agree to be bound by these Terms and Conditions. Criterica Capital is the litigation funding brand of Criterica Group, Inc., a Minnesota corporation with its principal office at 701 E. Lake St., Ste 250, Wayzata, MN 55391. This Site is provided for informational purposes only. If you do not agree to these Terms, you may not access or use the Site. Criterica Capital reserves the right to modify these Terms at any time. Changes become effective upon posting to the Site with an updated effective date. Your continued use of the Site after any modification constitutes acceptance of the revised Terms.
Intellectual Property Rights
All content on this Site — including but not limited to text, graphics, logos, images, page layouts, software, and the Criterica Capital name and marks — is owned by or licensed to Criterica Capital and is protected by applicable copyright, trademark, and intellectual property laws. You are granted a limited, personal, non-commercial license to access and view Site content for your own informational purposes. You may not reproduce, distribute, publicly display, modify, create derivative works from, sell, or otherwise commercially exploit any Site content without Criterica Capital's prior written consent. Unauthorized use of any content may violate applicable intellectual property laws and may subject you to civil or criminal penalties.
User Representations
By using this Site, you represent and warrant that: (1) you are at least 18 years of age and have the legal capacity to agree to these Terms; (2) you are not located in a jurisdiction where use of this Site or its content is prohibited by applicable law; (3) you will comply with all applicable laws, regulations, and these Terms; (4) you will not access the Site through automated means including bots, scrapers, or data harvesting tools; (5) you will not use the Site or its content for any unlawful or unauthorized purpose; and (6) your use of the Site does not violate any applicable law or regulation.
Prohibited Activities
You may not use this Site for any purpose other than that for which it is made available. Specifically, you may not: systematically retrieve data or content from the Site to build or compile a collection, database, or directory without written permission; make any unauthorized use of the Site, including collecting user information for unsolicited communications; use the Site to advertise or offer to sell goods or services; circumvent, disable, or otherwise interfere with security features of the Site; engage in unauthorized framing or linking to the Site; trick, defraud, or mislead Criterica Capital or other users; use the Site in connection with any effort to compete with Criterica Capital; upload or transmit viruses, Trojan horses, or other disruptive material; make improper use of our support services or submit false reports of abuse; engage in any automated use of the system; delete or alter copyright or proprietary rights notices from any content; copy or adapt the Site's software; or harass, annoy, intimidate, or threaten any Criterica Capital employee or representative.
User Generated Contributions
This Site does not generally provide an opportunity for users to submit or post content. However, if you communicate with Criterica Capital through contact forms, email, or other means, you represent and warrant that: (1) such communications are factually accurate; (2) you own or have the necessary rights, licenses, and permissions to transmit that content; (3) the content does not violate the privacy rights, publicity rights, copyrights, contract rights, or any other rights of any third party; and (4) the content is not unsolicited promotional material, spam, or any other form of unauthorized solicitation.
Contribution License
By submitting any content, communication, or information to Criterica Capital — whether through contact forms, email, or otherwise — you grant Criterica Capital a non-exclusive, worldwide, royalty-free, perpetual, irrevocable license to use, reproduce, modify, adapt, publish, translate, distribute, and display that content for the purpose of operating and improving our business and services. You represent that you have the right to grant this license and that the content does not infringe on the rights of any third party. Criterica Capital does not claim ownership of your submitted content; this license is limited to what is reasonably necessary for our business operations.
Submissions
You acknowledge and agree that any questions, comments, suggestions, ideas, feedback, or other information regarding the Site or Criterica Capital's services that you submit to us ("Submissions") are non-confidential and become the sole property of Criterica Capital. Criterica Capital owns exclusive rights, including all intellectual property rights, to such Submissions and is entitled to the unrestricted use and dissemination of these Submissions for any lawful purpose, commercial or otherwise, without acknowledgment or compensation to you. You hereby waive all moral rights to any such Submissions and warrant that such Submissions are original to you and that you have the right to submit them.
Site Management
Criterica Capital reserves the right, but not the obligation, to: (1) monitor the Site for violations of these Terms; (2) take appropriate legal action against anyone who, in Criterica Capital's sole discretion, violates the law or these Terms; (3) refuse, restrict access to, limit the availability of, or disable (to the extent technologically feasible) any of your contributions or any portion thereof; (4) remove from the Site or otherwise disable all files and content that are excessive in size or are in any way burdensome to our systems; and (5) otherwise manage the Site in a manner designed to protect the rights and property of Criterica Capital and to facilitate the proper functioning of the Site.
Privacy Policy
Use of this Site is also governed by Criterica Capital's Privacy Policy, which is incorporated into these Terms by this reference. Please review the Privacy Policy so that you may understand our practices. This Site is hosted and operated in the United States. If you are accessing the Site from another country, please note that your information may be transferred to, stored, and processed in the United States where our servers are located and our central database is operated. The laws of the United States governing data collection and use may differ from the laws of your country.
Term and Termination
These Terms shall remain in full force and effect while you use the Site. Without limiting any other provision of these Terms, Criterica Capital reserves the right, in its sole discretion and without notice or liability, to deny access to and use of the Site (including blocking certain IP addresses) to any person for any reason or for no reason, including without limitation for breach of any representation, warranty, or covenant contained in these Terms or of any applicable law or regulation. Criterica Capital may terminate your use or participation in the Site or delete any content or information you have submitted at any time, without warning, in Criterica Capital's sole discretion. All provisions of these Terms which by their nature should survive termination shall survive, including without limitation ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
Modifications and Interruptions
Criterica Capital reserves the right to change, modify, or remove the contents of the Site at any time or for any reason at our sole discretion without notice. We also reserve the right to modify or discontinue all or part of the Site without notice at any time. Criterica Capital will not be liable to you or any third party for any modification, price change, suspension, or discontinuance of the Site. We cannot guarantee the Site will be available at all times. We may experience hardware, software, or other problems or need to perform maintenance related to the Site, resulting in interruptions, delays, or errors. Criterica Capital reserves the right to change, revise, update, suspend, discontinue, or otherwise modify the Site at any time or for any reason without notice to you.
Governing Law
These Terms and your use of the Site are governed by and construed in accordance with the laws of the State of Minnesota applicable to agreements made and to be entirely performed within the State of Minnesota, without regard to its conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.
Dispute Resolution
Any legal action, suit, or proceeding arising out of or relating to these Terms or your use of the Site shall be brought exclusively in the state or federal courts located in Hennepin County, Minnesota. You hereby consent and submit to the personal jurisdiction of those courts for the purpose of litigating any such action. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts. Nothing in this section shall limit Criterica Capital's right to seek injunctive or other equitable relief in any court of competent jurisdiction.
Corrections
There may be information on the Site that contains typographical errors, inaccuracies, or omissions that may relate to the Site, including descriptions, pricing, availability, and various other information. Criterica Capital reserves the right to correct any errors, inaccuracies, or omissions and to change or update the information on the Site at any time, without prior notice.

Limitations of Liability
IN NO EVENT WILL CRITERICA CAPITAL, ITS DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SITE, EVEN IF CRITERICA CAPITAL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, CRITERICA CAPITAL'S LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO THE LESSER OF THE AMOUNT PAID, IF ANY, BY YOU TO CRITERICA CAPITAL DURING THE SIX (6) MONTH PERIOD PRIOR TO ANY CAUSE OF ACTION ARISING, OR ONE HUNDRED U.S. DOLLARS ($100.00). CERTAIN STATE LAWS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE DISCLAIMERS OR LIMITATIONS MAY NOT APPLY TO YOU, AND YOU MAY HAVE ADDITIONAL RIGHTS.
Indemnification
You agree to defend, indemnify, and hold harmless Criterica Capital, its parent company, subsidiaries, affiliates, officers, agents, partners, and employees from and against any loss, damage, liability, claim, or demand, including reasonable attorneys' fees and expenses, made by any third party due to or arising out of: (1) use of the Site; (2) breach of these Terms; (3) any breach of your representations and warranties set forth in these Terms; (4) your violation of the rights of a third party, including but not limited to intellectual property rights; or (5) any overt harmful act toward any other user of the Site with whom you connected via the Site. Notwithstanding the foregoing, Criterica Capital reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate, at your expense, with our defense of such claims.
User Data
Criterica Capital will maintain certain data that you transmit to the Site for the purpose of managing the performance of the Site, as well as data relating to your use of the Site. Although Criterica Capital performs regular routine data backups, you are solely responsible for all data that you transmit or that relates to any activity you have undertaken using the Site. You agree that Criterica Capital shall have no liability to you for any loss or corruption of any such data, and you hereby waive any right of action against Criterica Capital arising from any such loss or corruption of such data.
Electronic Communications, Transactions, and Signatures
Visiting the Site, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications, and you agree that all agreements, notices, disclosures, and other communications we provide to you electronically, via email and on the Site, satisfy any legal requirement that such communication be in writing. YOU HEREBY AGREE TO THE USE OF ELECTRONIC SIGNATURES, CONTRACTS, ORDERS, AND OTHER RECORDS, AND TO ELECTRONIC DELIVERY OF NOTICES, POLICIES, AND RECORDS OF TRANSACTIONS INITIATED OR COMPLETED BY US OR VIA THE SITE. You hereby waive any rights or requirements under any statutes, regulations, rules, ordinances, or other laws in any jurisdiction which require an original signature or delivery or retention of non-electronic records, or to payments or the granting of credits by any means other than electronic means.

Miscellaneous
These Terms and any policies or operating rules posted by us on the Site or in respect to the Site constitute the entire agreement and understanding between you and Criterica Capital. Criterica Capital's failure to exercise or enforce any right or provision of these Terms shall not operate as a waiver of such right or provision. These Terms operate to the fullest extent permissible by law. Criterica Capital may assign any or all of its rights and obligations to others at any time. Criterica Capital shall not be responsible or liable for any loss, damage, delay, or failure to act caused by any cause beyond Criterica Capital's reasonable control. If any provision or part of a provision of these Terms is determined to be unlawful, void, or unenforceable, that provision or part of the provision is deemed severable from these Terms and does not affect the validity and enforceability of any remaining provisions. There is no joint venture, partnership, employment, or agency relationship created between you and Criterica Capital as a result of these Terms or use of the Site.
