Independent Professional Advice Requirement

The independent professional advice requirement, found in most state Structured Settlement Protection Acts, obligates a factoring company to advise the payee in writing to seek independent advice — from an attorney, certified public accountant, actuary, or other qualified professional not affiliated with or paid by the factoring company — regarding the legal, tax, and financial implications of selling structured settlement payment rights, before the transfer proceeds to court. Most statutes allow the payee to waive this advice in writing, and in practice waiver is common because the professional's fee is generally not covered by the factoring company and the payee is often seeking the transaction precisely to solve an immediate cash need that a paid consultation would compound. Courts reviewing transfer petitions typically require proof that advice was either genuinely obtained or knowingly and voluntarily waived, and a defective waiver — one signed without adequate disclosure of what advice would have covered — has been grounds for courts to deny or delay approval. The requirement exists because a structured settlement payee, often years removed from the underlying injury and the attorney who negotiated the original settlement, may not otherwise have any professional guidance on whether the transaction's discount rate, tax consequences, or long-term impact on their financial security is reasonable.
